Welcome to tAIxable LLC ("tAIxable", the "Company", "we", "us", or "our").

These Terms of Use ("Terms") govern your access to and use of our website, platform, planning tools, applications, content, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use our Services. If you use the Services on behalf of a company, employer, or other entity, you represent that you have authority to bind that entity to these Terms.


2. Nature of the Services

tAIxable provides digital planning tools, modelling functionality, comparative tax scenario analysis, informational resources, collaboration features, and related advisory-support services.

Unless expressly agreed in a separate written engagement, the Services are intended for informational, modelling, and planning purposes only. The Services do not constitute formal tax preparation, legal advice, accounting advice, financial advice, investment advice, or regulated professional services.

UK Financial Promotion Notice. Content in the Services is not a "financial promotion" within the meaning of section 21 of the UK Financial Services and Markets Act 2000 (FSMA). It is general guidance and not personalised advice.


3. No Professional Advice / No Reliance

Information, calculations, projections, modelling outputs, comparative scenarios, and estimates generated through the Services are based on assumptions, user-provided inputs, computational logic, jurisdiction-specific tax tables, and available information.

These outputs:

  • are illustrative only;
  • may not reflect actual legal, tax, financial, or regulatory outcomes;
  • may change based on law, facts, timing, or jurisdiction;
  • should not be relied upon as definitive professional advice.

You remain solely responsible for obtaining independent professional advice before making legal, tax, financial, employment, relocation, or investment decisions.


4. User Responsibilities

You agree to:

  • provide accurate and lawful information;
  • maintain the confidentiality of your account credentials;
  • use the Services only for lawful purposes;
  • ensure that information entered into the platform is accurate to the best of your knowledge;
  • comply with applicable laws and regulations, including export-control and sanctions regulations.

You are solely responsible for decisions made based on your use of the Services.


5. Account Registration and Security

Certain Services require account creation. You are responsible for:

  • safeguarding your login credentials;
  • all activity under your account;
  • promptly notifying us of suspected unauthorised access (email security@taixable.com).

We reserve the right to suspend, restrict, or terminate accounts where security, misuse, or compliance concerns arise.


6. Acceptable Use

You may not:

  • use the Services for unlawful purposes;
  • attempt unauthorised access to systems or accounts;
  • interfere with platform security or infrastructure;
  • scrape, harvest, crawl, or extract platform data without authorisation;
  • reverse engineer, copy, decompile, or reproduce platform functionality (except to the extent expressly permitted by mandatory applicable law);
  • upload malicious code or interfere with service performance;
  • impersonate others;
  • misuse advisor or collaboration features;
  • attempt automated abuse or platform exploitation.

7. Payments, Subscriptions, and EU Consumer Right of Withdrawal

7.1 Pricing

Where paid Services are offered, pricing will be disclosed before purchase, including any applicable VAT or sales tax itemised at checkout. Payment processing may be handled by third-party providers (e.g., Stripe Inc.) subject to their own terms and privacy policies.

7.2 Subscriptions and auto-renewal

Subscriptions renew according to the purchase terms disclosed at checkout unless cancelled. We will send a reminder before each renewal as required by applicable local law (including, where relevant, France's Loi Chatel and Germany's "Kündigungsbutton" requirements). You may cancel at any time from your account settings.

7.3 EU / UK Right of Withdrawal (Consumer Rights Directive 2011/83/EU)

If you are a consumer resident in the European Economic Area or the United Kingdom, you have the right to withdraw from a purchase of paid Services within 14 days of the contract conclusion, without giving any reason.

To exercise the right of withdrawal, you must inform us by an unequivocal statement (e.g., email to privacy@taixable.com) using the model withdrawal form below. To meet the deadline, it is sufficient to send your withdrawal before the 14-day period has expired.

Effects of withdrawal. We will reimburse all payments received from you without undue delay and not later than 14 days from the day we are informed of your decision, using the same means of payment as you used.

Loss of right of withdrawal for digital content. Where you have expressly consented to the immediate performance of a digital service and acknowledged that you thereby lose your right of withdrawal, the right does not apply. We will obtain your express consent and acknowledgment at the point of checkout.

7.4 Refunds

Refunds are governed by your statutory consumer rights and any additional refund commitments we publish at purchase. Outside the withdrawal right and statutory guarantees, fees are non-refundable except where required by law.


8. Advisor and Third-Party Interactions

The platform may allow you to connect with internal or independent advisors, consultants, or third-party professionals. Unless expressly stated:

  • such professionals operate independently;
  • tAIxable does not guarantee their advice, services, availability, or outcomes;
  • you are responsible for evaluating third-party relationships.

Where you choose to share information with advisors, that sharing occurs at your direction.


9. Intellectual Property

All rights, title, and interest in the Services, including software, source code, algorithms, functionality, branding, text, graphics, design, documentation, and content, are owned by or licensed to tAIxable. No rights are granted except as expressly stated.

You may not copy, reproduce, modify, distribute, create derivative works from, sell, license, or exploit the Services without written permission, except to the extent permitted by mandatory applicable law.


10. User Content and AI Inputs

Where you submit content, information, comments, or other materials through the Services ("User Content"), you retain ownership of your User Content.

You grant tAIxable a non-exclusive, worldwide, royalty-free licence to host, process, display, transmit, and use such User Content solely for the purpose of operating and providing the Services to you.

You represent that you have the necessary rights to submit such User Content.

AI inputs and outputs. Where you provide inputs to AI-powered features:

  • We do not use your inputs to train third-party large language models or other generative models without your explicit consent.
  • We may temporarily process your inputs to generate outputs, log them for safety/abuse monitoring, and store them as part of your scenario history.
  • AI-generated outputs are produced on the fly from your inputs and are licensed to you to use freely within the Services. We do not claim ownership of AI outputs derived from your inputs.

11. Service Availability

We aim to maintain reliable access but do not guarantee uninterrupted, error-free, or always-available Services. We may modify functionality, suspend features, discontinue services, perform maintenance, or restrict access where necessary, providing reasonable advance notice where feasible.

Beta and preview features. Some Services may be labelled as "beta", "preview", "experimental", or similar. Such features may have limited functionality, be modified or withdrawn at any time, and are provided without any warranties beyond those that cannot be excluded under applicable consumer law.


12. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or uninterrupted availability. We do not guarantee specific outcomes, tax savings, financial benefits, legal results, or planning accuracy.

Statutory consumer guarantees. If you are a consumer resident in the European Economic Area, the United Kingdom, or any jurisdiction whose consumer law provides mandatory statutory guarantees of conformity for digital services (e.g., EU Directive 2019/770), you benefit from those guarantees, which cannot be excluded or limited by these Terms. Nothing in this Section 12 limits or excludes those statutory rights.


13. Limitation of Liability

To the fullest extent permitted by applicable law, tAIxable shall not be liable for:

  • indirect damages;
  • consequential damages;
  • incidental damages;
  • punitive damages;
  • lost profits;
  • lost business opportunities;
  • lost data;
  • business interruption.

Subject to Section 13.1 below, our aggregate liability relating to the Services shall not exceed the greater of: (a) amounts paid by you to tAIxable in the twelve (12) months preceding the claim; or (b) USD $100.

13.1 Liability that cannot be limited or excluded

Nothing in these Terms limits or excludes our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • gross negligence or wilful misconduct;
  • any other liability that, by applicable mandatory law, cannot be limited or excluded (including, in the EU/UK, certain statutory consumer rights).

14. Indemnification

If you are a business user (not a consumer), you agree to defend, indemnify, and hold harmless tAIxable, its affiliates, officers, employees, contractors, and partners from claims arising out of:

  • your misuse of the Services;
  • your violation of these Terms;
  • your unlawful conduct;
  • your infringement of third-party rights.

For consumer users, this indemnity applies only to claims arising from your wilful misconduct, fraud, or infringement of third-party intellectual property rights, in each case to the extent permitted by applicable law.


15. Termination and Effects on Your Data

We may suspend or terminate your access at any time where these Terms are violated, misuse occurs, security risks arise, legal compliance requires action, or service operations require suspension. We will give reasonable notice where feasible and where the suspension is not in response to an active security incident.

You may terminate your account at any time from account settings or by emailing privacy@taixable.com.

Data on termination. Following termination:

  • you may export your planning and scenario data for 30 days before deletion;
  • we will delete personal information in accordance with our Privacy Policy retention table;
  • statutory tax-record retention (where applicable) may require us to retain certain data for longer;
  • termination does not limit accrued rights or obligations of either party.

16. Privacy

Use of the Services is also governed by our Privacy Policy, which includes our cookie and tracking-technology disclosures.


17. Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including outages, cyberattacks, infrastructure failures, third-party service-provider failures, governmental actions, sanctions, pandemics, supply-chain disruptions, internet or DNS outages, or other force majeure events.


18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of South Dakota, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the courts located in South Dakota, unless otherwise required by applicable law.

Consumer carve-out. If you are a consumer resident in the European Economic Area, the United Kingdom, or any other jurisdiction with mandatory consumer-protection laws, nothing in these Terms deprives you of the rights you have under the mandatory laws of your country of residence, and you may bring proceedings in the courts of that country.


19. EU Online Dispute Resolution

If you are a consumer resident in the European Union, you have the right to submit disputes with us through the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr. Our contact email for ODR purposes is privacy@taixable.com.

We are not obliged to participate in an alternative dispute-resolution procedure before a consumer arbitration board and reserve the right to decide on a case-by-case basis.


20. Notice-and-Action Mechanism (EU Digital Services Act)

If you believe that content available through our Services (including content shared by an advisor or collaborator) is illegal under EU or Member State law, you may notify us via privacy@taixable.com with the following information: (a) a reasoned explanation of why the content is illegal, (b) the URL or location of the content, (c) your contact details, (d) a statement of good-faith belief that the information is accurate.

We will process such notices in accordance with Article 16 of the EU Digital Services Act (Regulation 2022/2065).


21. Sanctions and Export Control

You represent that you are not located in, ordinarily resident in, or a national of a jurisdiction subject to comprehensive economic sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations, and that you are not listed on any restricted-persons list. You may not use the Services in violation of any applicable sanctions or export-control laws.


22. Changes to These Terms

We may update these Terms periodically. For non-material changes, updated versions become effective when posted. For material changes that adversely affect your rights, we will provide registered users with at least 30 days' notice by email before the change takes effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.


23. General

  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Entire agreement. These Terms, together with the Privacy Policy and any order forms or written agreements signed by both parties, constitute the entire agreement between you and tAIxable regarding the Services.
  • No waiver. Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms (in whole or in part) to any affiliate or successor in interest.
  • Notices. We will send notices to the email address registered to your account; you may send notices to us at privacy@taixable.com.
